1. About these terms
These terms apply to the services provided by Stoke Digital Limited (“Stoke Digital”, “we”, “us”). They sit alongside any proposal, contract or statement of work we agree with you. If there’s ever a difference between them, your signed agreement takes priority.
2. Our services
We provide digital marketing, paid social and paid search advertising, ecommerce consulting, creative strategy, reporting, analytics, automation and AI-assisted services. The scope of work for each client is set out in their proposal or contract.
3. Platforms and integrations
To do our best work, we connect to the platforms you use, such as Shopify, Meta, Google Ads, Google Analytics and Klaviyo. You authorise us to access these platforms as reasonably needed to deliver our services. Each platform runs under its own terms and policies, which apply alongside ours.
4. AI, automation and analytics tools
We use software, automation and AI tools to work smarter with your data. Bringing your marketing data together and analysing it with AI helps us spot trends sooner, uncover what’s really driving growth, and give you clearer recommendations.
You authorise us to connect these tools to your accounts and data as reasonably needed to deliver our services. The tools we use will evolve as technology improves. We use AI providers under business terms, and our main AI provider does not train its models on client data under those terms. Some providers may process data outside New Zealand.
Like any software, these tools can occasionally get things wrong. We take care in how we use them, keep a human eye on the work, and put things right promptly if something needs fixing.
5. Your data
Your data stays yours. How we collect, store, use and delete client data is set out in our Client Data Terms at [link], which form part of these terms.
6. Working together
To help us get great results, we ask that you:
- give us accurate information, and the access and approvals we need
- follow the policies of the platforms we advertise on
- make sure you have the rights to any materials you share with us
- keep sensible spending limits on your ad accounts and regular backups of your online store
7. Fees and payment
Fees are set out in your proposal, contract or invoice. We may invoice in advance or monthly. If an invoice becomes overdue, reasonable recovery costs and interest may apply.
8. Confidentiality
We both agree to keep each other’s confidential information private. It’s only shared where it’s needed to deliver our services, where it’s been authorised, or where the law requires it.
9. Intellectual property
You keep ownership of your existing brand, content and materials. We keep ownership of our own systems, templates, workflows and methods. Once paid in full, you have a non-exclusive licence to use the deliverables we create for you.
10. Results and liability
We always put our best into your results, but marketing outcomes depend on many things outside our control, so we can’t promise specific results. We’re also not responsible for issues caused by third-party platforms, such as outages, account suspensions or rejected ads.
To the extent the law allows, our total liability relating to our services, including any errors from software, automation or AI tools, is limited to the fees you paid us for the affected services in the three months before the issue arose.
11. Ending our services
Either of us can end our services with reasonable written notice, unless your contract sets a different notice period or minimum term.
12. Updates to these terms
As technology and best practice evolve, we may update these terms from time to time. We’ll let clients know by email at least 30 days before any significant update takes effect, and you’re always welcome to ask us about it. Continuing with our services after that date means you’re happy with the updated terms. Fees are always agreed separately and aren’t changed by these updates.
13. Governing law
These terms are governed by New Zealand law.
